Terms & Conditions

Welcome to Nook & Nest. These Terms & Conditions ("Terms") govern your access to and use of our website, products, and services (collectively, the "Site"). By browsing, registering an account, or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

 

Please read these Terms carefully. They include important information about how we operate (including our use of third-party suppliers), your rights, and limitations on our liability.

1. About Nook & Nest

Nook & Nest is an online home goods retailer that curates products from a network of third-party suppliers and manufacturers. We do not own or operate the warehouses or fulfillment centers from which most products ship. Instead, when you place an order, we forward the order to one of our supplier partners, who packages and ships the item directly to you.

 

This business model is sometimes referred to as "dropshipping." It is a legitimate, widely used retail model, and we want to be fully transparent about how it affects your shopping experience:

 

  • Items in a single order may ship from different suppliers, in separate packages, and on different timelines.

  • Some items may ship from international fulfillment centers.

  • Product images, descriptions, and packaging may originate from supplier-provided materials.

 

Our Shipping Policy explains the timing, tracking, and customs implications of this model in detail and is incorporated into these Terms by reference.

2. Eligibility

To use the Site or place an order, you must:

 

  • Be at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater;

  • Have the legal authority to enter into a binding contract; and

  • Not be barred from receiving products under the laws of the United States or any other applicable jurisdiction.

 

By placing an order, you represent and warrant that you meet these requirements.

3. Accounts

You may browse the Site without creating an account, but certain features (order history, saved addresses, etc.) require registration. If you create an account, you agree to:

 

  • Provide accurate, current, and complete information;

  • Keep your password confidential and not share your account with others;

  • Notify us immediately of any unauthorized use of your account; and

  • Be responsible for all activity that occurs under your account.

 

We reserve the right to suspend or terminate accounts that violate these Terms, contain fraudulent information, or have been used for prohibited purposes.

4. Products, Descriptions & Pricing

We work hard to display product information, images, colors, and dimensions as accurately as possible. However, because much of this content is supplied by our third-party partners:

 

  • Colors and finishes may appear differently on different screens, and slight variations between the product photo and the item received are possible.

  • Dimensions and weights are approximate and provided by the supplier.

  • Stock availability can change quickly. Listing a product on the Site is not a guarantee that it is in stock at the supplier's warehouse.

 

We reserve the right to correct errors, inaccuracies, or omissions in product descriptions, pricing, promotions, offers, or availability at any time, and to cancel orders affected by such errors—even after an order has been submitted or payment has been processed. If we cancel an order due to a pricing or availability error, we will issue a full refund of any amount charged.

 

All prices are listed in U.S. dollars (USD) unless otherwise indicated and are exclusive of applicable taxes, duties, and shipping costs unless explicitly stated.

5. Orders & Order Acceptance

When you place an order, you are making an offer to purchase the listed items at the listed price. Your order is not accepted, and no contract is formed, until we send you an order confirmation email and the order has been successfully submitted to and accepted by our supplier.

 

We reserve the right, in our sole discretion, to:

 

  • Limit order quantities;

  • Refuse or cancel any order at any time before shipment;

  • Require additional verification or information before accepting an order; and

  • Decline orders that appear to be placed by resellers, dealers, or distributors, or that we suspect are fraudulent.
     

6. Payment

We accept the payment methods displayed at checkout. By submitting a payment method, you represent that you are authorized to use it and authorize us (or our payment processor) to charge your full order total, including taxes and shipping fees.

 

If a payment is declined, reversed, or charged back, we may suspend or cancel your order and any related accounts.

7. Shipping

All shipping is governed by our Shipping Policy, which is incorporated into these Terms by reference. Key points:

 

  • Most orders ship from third-party suppliers, sometimes in multiple packages.

  • Delivery windows are estimates, not guarantees.

  • International customers are responsible for any duties, taxes, or customs fees.

  • Risk of loss passes to you upon delivery to the carrier.
     

8. Returns, Refunds & Cancellations

Our Returns & Refunds Policy governs eligibility, timelines, and procedures for returning items. Because we work with multiple suppliers, return procedures and restocking fees may vary by item, and some products (e.g., custom, personalized, perishable, intimate, or final-sale items) may not be eligible for return.

 

Order cancellations must be requested within 2 hours of placing the order. After that window, the order may have been submitted to the supplier and cannot be canceled.

9. Intellectual Property

All content on the Site—including the Nook & Nest name and logo, product photos and descriptions where created by us, copy, graphics, and Site design—is owned by Nook & Nest or its licensors and is protected by U.S. and international intellectual property laws.

 

You may not copy, reproduce, modify, distribute, scrape, or create derivative works from any portion of the Site without our prior written permission, except for the limited personal, non-commercial use necessary to browse and place orders.

 

Some product images and descriptions are provided by our supplier partners and remain the property of those suppliers or their licensors.

10. User Conduct

You agree not to:

 

  • Use the Site for any unlawful purpose or in violation of any local, state, national, or international law;

  • Attempt to gain unauthorized access to any part of the Site, our systems, or other users' accounts;

  • Upload or transmit viruses, malware, or other harmful code;

  • Use bots, scrapers, or other automated tools to extract data from the Site;

  • Place fraudulent orders or use stolen payment information;

  • Harass, threaten, or abuse our staff, our suppliers, or other users; or

  • Resell our products without our prior written consent.

 

We reserve the right to investigate and take legal action against anyone who violates this section.

11. Reviews & User Submissions

If you submit a product review, photo, comment, or other content to the Site, you grant Nook & Nest a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and transferable license to use, reproduce, modify, adapt, publish, and display that content in connection with our business. You represent that the content is original to you, does not infringe anyone else's rights, and is not unlawful, defamatory, or obscene.

 

We reserve the right (but have no obligation) to remove or edit user submissions at any time.

12. Third-Party Suppliers & Links

Because Nook & Nest relies on third-party suppliers to fulfill orders, the products you receive are sourced and shipped by parties other than Nook & Nest. While we vet our supplier partners and stand behind the products we list, we are not the manufacturer of these items. Manufacturer warranties, where applicable, are passed through to you and are subject to the manufacturer's own terms.

 

The Site may also contain links to third-party websites or services that we do not own or control. We are not responsible for the content, policies, or practices of any third-party websites, and your interactions with them are at your own risk.

13. Disclaimers

THE SITE AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, NOOK & NEST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

 

We do not warrant that the Site will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any product description, image, or other content provided by our suppliers.

 

Some jurisdictions do not allow the exclusion of certain warranties, so portions of this section may not apply to you.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL NOOK & NEST, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR ANY PRODUCT PURCHASED THROUGH THE SITE.

 

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO NOOK & NEST IN THE 90 DAYS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

 

Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless Nook & Nest, its affiliates, suppliers, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) any content you submit to the Site.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of [insert U.S. state], without regard to its conflict-of-law principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

 

Before filing a formal claim, you agree to first contact us at [insert support email] and attempt in good faith to resolve the dispute informally for at least 30 days.

 

If the dispute is not resolved informally, you and Nook & Nest agree that any dispute arising out of or relating to these Terms or your use of the Site will be resolved by binding individual arbitration administered by [insert arbitration provider, e.g., the American Arbitration Association] under its then-current Consumer Arbitration Rules. Arbitration will take place in [insert venue], in English, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

 

You and Nook & Nest agree that any dispute will be brought only in your or our individual capacity, not as a plaintiff or class member in any purported class, collective, or representative proceeding. If a court decides this class-action waiver is unenforceable as to a particular claim, that claim (and only that claim) must be severed and brought in court; the remainder of this section will continue to apply.

 

You may opt out of this arbitration agreement by sending written notice to [insert support email] within 30 days of first agreeing to these Terms.

 

Nothing in this section prevents either party from seeking injunctive relief in court for intellectual property infringement or pursuing claims in small-claims court where eligible.

17. Modifications to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects when changes were last made. Material changes will be communicated through the Site, by email, or both. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

18. Severability & Waiver

If any provision of these Terms is found to be unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision.

19. Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, and Returns & Refunds Policy, constitute the entire agreement between you and Nook & Nest regarding your use of the Site and supersede any prior agreements.
